3. Payments and Billing
All fees are due according to the terms stated in your service proposal or invoice. Payments are securely processed through Stripe or another approved payment gateway.
- Payment must be made in full before work begins unless otherwise stated.
- Recurring clients will be billed automatically on a pre-agreed billing cycle.
- All prices are listed in USD unless specified otherwise.
- Late or failed payments may result in suspension of services.
You agree not to initiate chargebacks without first contacting us to resolve any issues.
4. Client Responsibilities
Clients are expected to:

- Review and approve deliverables within agreed timelines;
- Comply with all applicable laws and intellectual property rights.
We are not liable for delays or performance issues caused by incomplete client cooperation or inaccurate information.
5. Intellectual Property
All materials, strategies, and deliverables created by Shape Communications LLC remain our intellectual property until full payment is received.
Upon full payment, clients receive a non-exclusive, perpetual license to use the materials for their intended business purposes.
Our brand name, logo, trademarks, and proprietary methods may not be copied or reused without prior written consent.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the engagement.
We will not disclose client data to third parties except where required by law or necessary to perform agreed services (e.g., with contractors bound by confidentiality).
7. Limitation of Liability
To the maximum extent permitted by law, Shape Communications LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of our Services.
Our total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
8. No Performance Guarantee
While Shape Communications LLC uses best-practice SEO and marketing strategies, we do not guarantee specific search engine rankings, traffic levels, or sales outcomes. Results depend on various factors outside our control, including algorithms, competition, and client implementation.
9. Termination
Either party may terminate a service agreement with written notice per the terms outlined in the signed proposal.
Outstanding fees for completed work or ongoing retainers are due immediately upon termination.
10. Refund Policy
Because our services involve strategic time investment and digital asset creation, all fees paid are non-refundable unless explicitly stated in a separate written agreement.
11. Third-Party Services
Our Services may include or depend on third-party platforms (e.g., Google, Stripe, WordPress). Shape Communications LLC is not responsible for their availability, policies, or performance.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA.
Any disputes shall be resolved exclusively in the courts located in Natrona County, Wyoming.
